Terms of Service

1. Agreement to Terms

By accessing or using MineSync.ai ("MineSync", "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization ("Customer"), you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Account Terms

• You are responsible for maintaining the security of your account credentials. MineSync will not be liable for any loss resulting from unauthorized use of your account.
• You are responsible for all activity that occurs under your account.
• You must provide accurate and complete information when creating your account.
• You must be a human. Accounts registered by automated methods (bots) are not permitted.
• You must be at least 16 years of age to use the Service.

3. Permitted Use

MineSync grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business operations related to mine asset management. This license is subject to these Terms and any applicable subscription plan.

4. Use Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Resell, sublicense, or redistribute access to the Service without written permission.
• Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Service.
• Upload malicious code, interfere with the Service's infrastructure, or conduct denial-of-service attacks.
• Scrape, crawl, or use automated tools to extract data from the Service beyond what the API or export features provide.

5. Customer Data & Content

You retain all rights to the data you upload to MineSync ("Customer Data"). You grant MineSync a limited license to process, store, and display your Customer Data solely to provide and improve the Service.

We do not use Customer Data to train machine learning models. AI Chat queries are processed in real time and are not retained by our AI providers for training purposes.

6. Payment & Billing

• Paid plans are billed in advance on a monthly or annual basis.
• All fees are non-refundable unless otherwise stated or required by law.
• We will give at least 30 days' notice before making changes to pricing.
• You are responsible for any applicable taxes.

7. Cancellation & Termination

You may cancel your account at any time. Upon cancellation, your data will be available for export for 30 days, after which it will be permanently deleted within 60 days.

MineSync may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a security risk. We will provide notice and an opportunity to export your data where possible.

8. Service Availability & Security

We strive for high availability but provide the Service on an "as is" and "as available" basis. We do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible.

9. Intellectual Property

MineSync and its original content (excluding Customer Data), features, and functionality are owned by MineSync and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use MineSync's branding or trademarks without written consent.

10. Limitation of Liability

To the maximum extent permitted by law, MineSync shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill arising out of your use of the Service.

Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold MineSync harmless from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Service.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes at least 30 days in advance by email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.
